Contest Rules

1. NO PURCHASE NECESSARY.  PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. 

2. Description of the Sweepstakes.

(a) These Official Rules (“Official Rules”) govern two (2) distinct sweepstakes sponsored by TVTxtr LLC (“Sponsor,” “we” or “us”): a) Deal or No Deal (“DOND”) Game Summer/Fall 2010 Giveaway (“Summer/Fall 2010 Sweepstakes”); and b) DOND Game Fast-Prize IV and V Sweepstakes (the “Fast-Prize Sweepstakes”). (The Summer/Fall 2010 Sweepstakes and the Fast-Prize Sweepstakes are collectively referred to as the “Sweepstakes.”) The Sweepstakes begin on May 1, 2010 at 12:00:01 AM Eastern Time (“ET”) and end on October 31, 2010 at 11:59:59 PM ET (the "Promotion Period").

(b) The Summer/Fall 2010 Sweepstakes consists of one hundred eighty four (184) daily random drawings (“Daily Drawings”) each with a $50 cash prize, six (6) monthly random drawings (“Monthly Drawings”) each with a $500 cash prize, and one (1) promotion-end grand prize random drawing (the "Grand Prize Drawing") with a $50,000 cash prize (each, including the drawings for the Fast-Prize Sweepstakes drawings described below, a "Drawing" and collectively the "Drawings"). Schedule 1 identifies each of the entry dates and prizes for the Summer/Fall 2010 Sweepstakes Drawings.

(c) The Fast-Prize Sweepstakes consists of two (2) sets of Drawings, one (1) for each “Quarterly Promotional Period” (as defined below). Each set of Drawings consists of twelve (12) or fourteen (14) separate Drawings. The entry and drawing dates and the prizes for each set of Drawings will be set forth in Fast-Prize schedules (each a “Fast-Prize Schedule”). The Fast-Prize Schedule for Fast-Prize IV Sweepstakes is attached to these Official Rules as Schedule 2; the Fast-Prize Schedule for Fast-Prize V will be posted on the http://dond.tvtxtr.com (“Website”) by July 15, 2010.

(d) For purposes of these rules, (i) a “day” is defined as each twenty-four hour period commencing at 12:00:01 AM ET and ending at 11:59:59 PM ET, (ii) a “Bi-Weekly Period” is defined as the 14 day period commencing on a Saturday at 12:00:01 AM ET and ending on the second following Friday at 11:59:59 PM ET beginning with the first Bi-Weekly Period which starts on May 1, 2010 at 12:00:01 AM ET ends on May 14, 2010 at 11:59:59 PM ET provided that the last Bi-Weekly Period during the Promotion Period shall end on October 31, 2010 at 11:59:59 PM ET”), (iii) a “Monthly Period” is defined as the time period commencing on the 1st day of a calendar month at 12:00:01 AM ET and ending on the last day of the same calendar month at 11:59:59 PM ET (each a "Monthly Promotional Period") and (iv) a “Quarterly Promotional Period” is defined as the three (3) month period beginning on May 1, 2010 or August 1, 2010 at 12:00:01 AM ET and ending on July 31, 2010 or October 31, 2010, respectively, at 11:59:59 PM ET.

3. Eligibility.
The Sweepstakes are open to individuals who are legal residents of the fifty (50) United States, the District of Columbia and Puerto Rico who are at least 13 years old when they enter; 18 years old for Florida residents. Any entrant who is less than the age of majority (a “minor”) in his/her state of residence may have to provide parental consent acceptable to us to participate in the Sweepstakes or be confirmed as a prize winner. Employees, officers and directors of Sponsor, SCA Promotions, Inc. (“SCA”), each of their legal representatives, and each of their respective affiliates, parents, subsidiaries, advertising, promotional, fulfillment and marketing agencies (collectively, the “Sweepstakes Entities”), their immediate families (and those living in the same households whether related or not) are not eligible to enter the Sweepstakes. By participating, you agree to abide by these Official Rules and by our decisions and those of SCA, which are final and binding in all respects.

4. How to Participate; Number of Entries.

(a) Two Means of Entry. There are two means of entering a Drawing (each an “Entry”): a “Web Entry” and a “Mobile Participation Entry.” When a Premium Member (as that term is defined in the Deal or No Deal Terms and Conditions available at DOND.TVTxtr.com/terms; the “Terms and Conditions”) plays a Deal or No Deal game (as further described in the Terms and Conditions, each a “DOND Game”) either via text messaging or online at the Website, or a Basic Member (as that term is defined in the Terms and Conditions) plays a DOND Game on the Website, a “Drawing Entry Form” is created on the Member’s “MyEntries” page on the Website. For purposes of these Official Rules, Premium Members and Basic Members shall collectively by known as “Members.” When the Member activates the Drawing Entry Form by checking the appropriate checkbox(es) and submitting the form, a “Web Entry” for those Drawings is created. IF A DRAWING ENTRY FORM IS NOT ACTIVATED, NO ENTRY IS CREATED. If a Premium Member’s wireless carrier is Alltel, AT&T, U.S. Cellular®, Verizon Wireless or any other carrier that permits automatic entries (an “Auto Entry Member”), the Auto Entry Member will be automatically entered into the Drawings based solely on their DOND Game play via text messaging without the activation step described above. An Entry by an Auto Entry Member based solely on DOND Game play is referred to as a “Mobile Participation Entry”.

(b) Entering Daily, Monthly and Grand Prize Drawings. A new DOND Game starts each day at 6:00 AM ET during the Promotion Period and can be played until the following day at 5:59:59 AM ET. When a Member starts to play a new DOND Game that first becomes available during the Promotion Period, that Member is entered into the Grand Prize Drawing and into the Daily Drawing and the Monthly Drawing based on the date the DOND Game first became available; these dates are listed in Schedule 1 which also provides the dates by which Web Entries must be activated.

(c) Grand Prize Key. The “Grand Prize Key” is a two digit number in the range of 00 to 99 which is used to determine if an Entry selected for the Grand Prize Drawing has won the Grand Prize. For Premium Members, the Grand Prize Key is the last two digits of the mobile number used to register for a Premium Membership. Basic Members must select a two-digit Grand Prize Key when they become a Basic Member; Basic Members will also be required to provide a valid email address for notification purposes. Any Basic Member who became a Basic Member prior to the requirement that a Grand Prize Key be selected during registration will be assigned a randomly selected Grand Prize Key at the start of the Promotion Period. Premium and Basic Members may view their Grand Prize Key on the MyProfile page of the Website; once assigned, Grand Prize Keys may not be changed.

(d) Entering Fast-Prize Drawings. There are two Fast-Prize Drawings for each set of fourteen (14) DOND Games that start during a Bi-Weekly Period. An Entry into the first Fast-Prize Drawing for a Bi-Weekly Period is triggered by reaching the specified midpoint in a DOND Game play and the other Fast-Prize entry for that Bi-Weekly Period is triggered when a DOND Game from that Bi-Weekly period is completed by either accepting the banker’s offer or opening the final case. The Fast-Prize Schedules set forth the dates of the daily DOND Games associated with each of the Fast-Prize Drawings.

(e) Limits on Number of Entries. For the 2010 Summer/Fall Sweepstakes, the maximum number of Entries is limited by the number of DOND Games that can be started during the relevant period, regardless of the method of entry. For the Fast-Prize Sweepstakes, the number of entries is limited by the number of DOND Games during the relevant Bi-Weekly Period regardless of the method of entry.

5. Drawings: Selection of Winners.

(a) Daily and Monthly Drawings. Schedule 1 sets forth the dates on which the Daily Drawings will be conducted and the last date for activation of a Web Entry for a DOND Game. Monthly Drawings will be conducted approximately ten (10) days after the close of each Monthly Period on the dates set forth in Schedule 1 below. The Drawings will include all eligible Daily or Monthly Entries received and, where required, activated by, the dates specified in Schedule 1 for the corresponding Drawing. Non-winning Daily and/or Monthly Entries will not be rolled over into subsequent Daily Drawings or Monthly Drawings. If there are no eligible Entries for a Drawing, no prize will be awarded.

IF YOU FAIL TO COMPLETE AND ACTIVATE A WEB ENTRY OR COMPLETE A MOBILE PARTICIPATION FOR ANY DAILY OR MONTHLY PROMOTIONAL PERIOD OR WHERE WE DID NOT RECEIVE YOUR ENTRY FOR ANY REASON WHATSOEVER, YOU WILL NOT QUALIFY FOR THE APPLICABLE DAILY OR MONTHLY PRIZE.

(b) Grand Prize Drawing. Before the Promotion Period, the Administrator will randomly select a two (2) digit number between 00-99; this set of numbers is referred to as the “Grand Prize Numbers.” On or about November 11, 2010, one (1) Entry will be selected via a random drawing from among all eligible Grand Prize Entries received throughout the entire Promotion Period and, where required, activated by the dates specified in Schedule 1. If the Grand Prize Key (as determined in accordance with Rule 4(c)) of the first selected Entry matches the Grand Prize Numbers exactly (and in order), the Entry selected will win the Grand Prize, subject to verification of eligibility. If an exact match is not made or if the selected Entry is disqualified, the Grand Prize will not be awarded. There is no guarantee that the Grand Prize will be awarded.

IF YOU FAIL TO COMPLETE AND ACTIVATE A WEB ENTRY OR COMPLETE A MOBILE PARTICIPATION FOR ANY DAILY OR MONTHLY PROMOTIONAL PERIOD OR WHERE WE DID NOT RECEIVE YOUR ENTRY FOR ANY REASON WHATSOEVER, YOU WILL NOT BE ELIGIBLE TO PARTICIPATE IN THE GRAND PRIZE DRAWING.

(c) Fast-Prize Drawings. Fast-Prize Drawings will be conducted approximately ten (10) days after the end date of each Bi-Weekly Period on the dates specified in the applicable Fast-Prize Schedule (the Fast-Prize Schedule for Fast-Prize IV is attached to these Official Rules as Schedule 2). The Drawings will include all eligible Fast-Prize Entries received and, where required, activated by the dates specified in the applicable Fast-Prize Schedule. Non-winning Entries will not be rolled over into subsequent Drawings. IF YOU FAIL TO COMPLETE AND ACTIVATE A WEB ENTRY OR COMPLETE A MOBILE PARTICIPATION ENTRY FOR A FAST-PRIZE DRAWING OR WHERE WE DID NOT RECEIVE YOUR ENTRY FOR ANY REASON WHATSOEVER YOU WILL NOT QUALIFY FOR THE APPLICABLE PRIZE.

(d) Odds of Winning
Odds of being selected as the Grand Prize entry will depend on the number of eligible entries received during the entire Promotion Period. Odds of a Grand Prize entry winning the Grand Prize are 1 in 100. Odds of winning any other Prize will depend on the number of eligible entries received for each 2010 Summer/Fall Sweepstakes Drawing or Fast-Prize Sweepstakes Drawing.

6. Prizes.
(a) Summer/Fall 2010 Sweepstakes

Each winning Daily Drawing Entry will be awarded $50 payable by check, subject to verification of eligibility. Each winning Monthly Drawing Entry will be awarded $500, payable by check, subject to verification of eligibility. If there are no eligible Entries for a Drawing, no prize will be awarded. We reserve the right to offer alternate non-cash prizes (ARV: $500) to Monthly Drawing prize winners provided that Monthly Drawing prize winners will always have the right to accept a $500 check in lieu of any alternate non-cash prize that we may offer. The Grand Prize is $50,000 cash payable in a lump sum by check. Winners must comply with these Official Rules to qualify for a prize.

(b) Fast-Prize Sweepstakes

The prize for each Fast-Prize Drawing is set forth in the applicable Fast-Prize Schedule.

(c) Contacting Winners; Conditions Applicable to Prizes

We will notify winners by either text messaging or e-mail, depending on whether a winner is a Premium Member or Basic Member, using contact information provided with registration or entry. It is the sole responsibility of Members to update their contact information. Winners may be required to execute an affidavit of eligibility and a liability/publicity release and for a Grand prize winner, an IRS Form W-9, that must be returned within five (5) days from the date we first attempt to notify a winner (the 5 day period after we first attempt to notify a potential winner is referred to herein as the “Notification Period”). If a winner is a minor, the winner's parent/legal guardian must sign any required documents on the minor winner’s behalf. If the potential winner cannot be contacted during the Notification Period or if the potential winner fails to sign and return the affidavit of eligibility and liability/publicity release by the end of the Notification Period, the potential winner may be disqualified and an alternate winner may be selected. Daily and Monthly Drawing winners and Fast-Prize Sweepstakes winners who are Premium Members will be notified by text message. Basic Members will be notified by email. The text message or the email, as the case may be, will contain a claim code which the winner enters on the Website at http://dond.TvTxtr.com/claims, along with their name, date of birth (for age verification), and shipping address. We may, in our sole discretion, select a pool of alternates from the same pool of Entries each time we conduct a Drawing and contact and award prizes to those alternates in turn in the event that an initial winner and/or any subsequent alternates fail to respond during the Notification Period or are disqualified in accordance with the notification procedure and deadlines specified above. We will attempt to contact up three (3) potential winners of any prize using the procedures above, after which the prize may go unawarded if it remains unclaimed. If there is a dispute regarding the individual who actually submitted Web Entry or Mobile Participation Entry, the Web Entry or Mobile Participation Entry will be deemed submitted by the authorized account holder of the wireless account supplied at the time of registration or if no mobile number is supplied, the authorized account holder of the email address submitted. If a dispute cannot be resolved to our satisfaction, the affected entry will be deemed ineligible. Prizes may not be substituted, assigned or transferred, except with our permission; we reserve the right to substitute a prize with another prize of greater or equal value if the offered prize is unavailable. The approximate retail value ("ARV") of any prize which is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Sweepstakes Rules and the date that the prize is awarded or redeemed. If the actual purchase price of any prize is less than the ARV stated herein, the prize winner will NOT be entitled to a check, cash or other form of payment for the price difference. Gift card prizes are subject to the terms and conditions imposed by gift card issuer. Winners are responsible for all applicable federal, state and local taxes. We will report prize awards to the IRS as required by applicable law. We make no warranties, and hereby disclaim any and all warranties, express or implied, concerning any prize furnished by third parties in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

7. General Conditions.
We reserve the right, in our discretion, to cancel, suspend or modify the Sweepstakes if fraud, technical failures or any other factor impairs the integrity of the Sweepstakes. In such event, we reserve the right to award any remaining prizes in a random drawing from among all eligible entries received up to the time of the impairment in accordance with Rule 4 above. We reserve the right in our discretion to disqualify any individual we find to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage our Website or undermine the legitimate operation of this Sweepstakes may be a violation of criminal and civil laws and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Proof of sending will not be deemed to be proof of receipt by Sponsor. Use of any automated program to enter will result in disqualification. An individual can establish and maintain only one DOND Member account at one time. Obtaining Entries by using more than one Member account shall be deemed a violation of these rules and shall void all Entries by that individual.

8. Release.
By accepting any prize, winner agrees to release and hold harmless Sweepstakes Entities from and against any claim or cause of action arising out of participation in or in connection with the Sweepstakes or receipt or use of any prize. Except in the State of Tennessee and where otherwise prohibited by law, acceptance of a Sweepstakes prize constitutes winner's consent to our use of winner's name, address, likeness, voice, and /or quotation for promotional purposes in any media without further payment or consideration.

9. Limitations of Liability.
The Sweepstakes Entities shall not be responsible for: (a) incorrect or inaccurate entry information whether caused by Internet errors, by any of the equipment or programming associated with or utilized in the Sweepstakes or inaccurate transcription of entry information; (b) lost, late, postage-due, stolen, incomplete, invalid, unintelligible, illegible, or misdirected entries; (c) any technical or human error or unauthorized human intervention which may occur in the processing of Sweepstakes entries or in the administration of the Sweepstakes; (d) any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries; or (e) any injury or damage to persons or property including to an entrant's computer, which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or from downloading any material from our website, regardless of whether we or a third party prepared the material and regardless of whether the material is connected to our website by a hypertext link.

10. Disputes.
Entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes or any prizes awarded shall be resolved via arbitration before the American Arbitration Association in New York City, in accordance with the then current Commercial Arbitration Rules of the American Arbitration Association. Any award rendered shall be final and conclusive to the parties and a judgment thereon may be entered in any court of competent jurisdiction. Nothing herein shall be construed to preclude any party from seeking injunctive relief in order to protect its rights pending an outcome in arbitration. To the extent permitted by law, you agree that you will not bring, join or participate in any class action lawsuit as to any claim, dispute or controversy that you may have arising out of or connected with the Sweepstakes or any prizes awarded thereunder. You agree to the entry of injunctive relief to stop such a lawsuit or to remove you as a participant in the suit.; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes but in no event attorneys' fees; and (c) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to, claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. New York law, without giving effect to any choice or conflict of law rules, governs all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant or Sponsor in connection with the Sweepstakes.

11. Data Collection.
We collect personal information from you when you enter the Sweepstakes. The information collected is subject to our privacy policy located at DOND.TVTxtr.com/privacy.

12. Winner's List/Official Rules.
